Terms of Service

Welcome to Cast Sports. These Terms of Service ("Terms") govern your access to and use of the Cast Sports mobile application and website (collectively, the "Platform"), operated by Strategic Digital Solutions Corp, doing business as Cast ("Cast," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. Eligibility

You must be at least 13 years of age to use the Platform. If you are under 18, you must have the consent of a parent or legal guardian to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements. Team administrators and coaches who add minor athletes to rosters are responsible for obtaining appropriate parental or guardian consent.

2. User Accounts

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or incomplete. You must notify us immediately of any unauthorized use of your account.

3. User Content

You retain ownership of the content you create, upload, or share on the Platform ("User Content"). By posting User Content, you grant Cast a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Platform and our services. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third party's rights or any applicable law.

4. Livestreaming and Event Recording

The Platform enables teams to livestream games and events and to record video content. You are solely responsible for ensuring that your use of livestreaming and recording features complies with all applicable laws, including obtaining any necessary consents from individuals who appear in your livestreams or recordings. You acknowledge that livestreamed content may be viewed by other users of the Platform in real time and that recorded content may be stored and made available on the Platform. Cast is not responsible for any claims arising from your livestream or recorded content.

5. Content Involving Minors

Cast recognizes that many sports teams include minor athletes. If you are a team administrator, coach, or any user who uploads content featuring minors, you are responsible for obtaining all necessary parental or guardian consents before uploading, livestreaming, or sharing such content. You must not upload any content that exploits, harms, or endangers minors in any way. Cast reserves the right to remove any content involving minors that we determine, in our sole discretion, to be inappropriate or in violation of these Terms.

6. Athlete Names, Images, and Statistics

The Platform allows team administrators and coaches to input athlete names, profile information, and performance statistics. By entering this information, you represent that you have the right and any necessary consents to provide such data. For minor athletes, this includes obtaining appropriate parental or guardian consent. Cast uses this information solely to provide Platform features such as roster management, stat tracking, and related services. You are responsible for the accuracy of the information you provide.

7. Highlight Clips and Automated Video

Cast may offer features that automatically generate highlight clips or other video content derived from livestreams or recorded videos. By using these features, you grant Cast the right to process your video content to create such clips. Highlight clips may be shared within the Platform and may be made available to other users according to your sharing settings. You retain ownership of the underlying video content, and Cast retains the right to use the automated processing technology.

8. Statistics and Game Data

The Platform provides tools for tracking and recording game statistics and data. While we strive to provide accurate and reliable stat tracking tools, Cast does not guarantee the accuracy or completeness of any statistics or game data entered by users or generated by the Platform. Statistics and game data are provided for informational and team management purposes only and should not be relied upon as official records.

9. Community Standards

You agree to use the Platform in a respectful and lawful manner. You must not use the Platform to:

  • Post or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying the Platform
  • Use the Platform for any illegal purpose or in violation of any applicable law or regulation
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform
  • Scrape, crawl, or use automated means to collect data from the Platform without our express written consent
  • Interfere with or disrupt the Platform or servers or networks connected to the Platform

10. Copyright and DMCA

Cast respects the intellectual property rights of others and expects users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information in accordance with the Digital Millennium Copyright Act ("DMCA"): a description of the copyrighted work you claim has been infringed, a description of where the allegedly infringing material is located on the Platform, your contact information, a statement that you have a good faith belief that the use is not authorized, and a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner. 11. Platform Availability

We strive to keep the Platform available at all times, but we do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Platform or any part of it at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.

12. Video Storage and Retention

Cast provides cloud storage for livestream recordings and uploaded videos. We retain video content in accordance with our data retention policies, which may vary based on your account type and subscription level. We reserve the right to delete video content that has not been accessed for an extended period or that violates these Terms. You are responsible for maintaining your own copies of any video content that is important to you. Cast is not liable for any loss of video content stored on the Platform.

13. Third-Party Services

The Platform may contain links to or integrations with third-party websites, services, or applications that are not owned or controlled by Cast, including but not limited to payment processors, analytics providers, and advertising networks. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CAST DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAST, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify, defend, and hold harmless Cast, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property rights or privacy rights; or (d) any User Content you post or share on the Platform.

17. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of New York. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

18. Class Action Waiver

YOU AND CAST AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND CAST EACH WAIVE ANY RIGHT TO A JURY TRIAL. YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

19. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may terminate your account at any time by contacting us or using the account deletion feature in the Platform settings.

20. Changes to the Service

Cast reserves the right to modify, update, or discontinue any aspect of the Platform at any time, with or without notice. This includes adding or removing features, changing pricing or subscription tiers, and altering the availability of content or services. We will make reasonable efforts to provide advance notice of significant changes, but we are not obligated to do so.

21. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in the State of New York, and you consent to the personal jurisdiction of such courts.
